What happens if I just stop paying fees?

If you stop paying annual report fees and registered agent fees without formally dissolving, your LLC will be administratively dissolved or revoked by the state. This can create liability issues and makes it hard to reinstate later. Always formally dissolve.

Do I need to file a final tax return?

Yes. For foreign-owned LLCs, you must file a final Form 5472 (and proforma 1120) for the year of dissolution. We include guidance on this as part of our dissolution service.

How long does dissolution take?

State processing times vary: Wyoming typically takes 1–2 weeks, Delaware 1–3 weeks, Florida 1–2 weeks. We provide expedited options in most states.

Can I reinstate my LLC after dissolution?

In some states, yes — but it's complicated and may require back fees and penalties. Prevention is better: if you want to pause operations rather than fully close, consider keeping your registered agent active while suspending other filings.
