MP Partner is a software platform providing digital tools, guided workflows, and automated systems to help users manage US LLCs and UK LTDs. We do not provide legal, tax, or financial advice. All actions taken through the platform are performed by the user. Consult a licensed professional for advice specific to your situation.

By accessing marketplacespartner.com and placing an order, you confirm that you have read, understood, and agree to be fully bound by these Terms & Conditions. Services cannot and will not be processed without your acceptance.
By using marketplacespartner.com and purchasing any product or subscription, you agree to be fully bound by these Terms & Conditions. If you disagree with any part of these terms, you must not use the platform or place an order.
These terms apply to all users, including free visitors, paying customers, and subscribers.
MP Partner is a software platform and digital toolkit, not a law firm, accounting firm, agency, or managed-service provider.
We strongly recommend consulting a qualified attorney, CPA, or licensed professional for any matter specific to your business, tax situation, or jurisdiction.

MP Partner does not handle or request personal identification documents on your behalf. Only banks, government agencies, or their authorized agents may require identity documents directly from you.

All platform tools and features are provided “as is” and “as available” without warranties of merchantability or fitness for a particular purpose.
Due to the digital and workflow-based nature of our platform, all sales are final once a workflow has been initiated, a document has been generated, or a filing has been submitted on your behalf.
Refund requests for services not yet initiated may be considered at MP Partner's sole discretion and must be submitted to Renewals@marketplacespartner.com within 48 hours of purchase. Approved refunds (if any) will be processed within 7 business days.
One-time toolkits: Payable at time of purchase. Includes platform access for the scope of the specific workflow purchased.
Subscriptions: Billed monthly or annually as selected. Subscriptions auto-renew unless cancelled before the renewal date.
Registered Agent: $50 per year per entity, billed annually. Renewal failure may result in loss of registered agent status and potential state penalties.
State Compliance: $29 per year per entity for annual report filing workflow.
Amendment fees: Name changes or corrections after filing submission incur a minimum fee of $50.
Government fees: All state and government fees are passed through at cost. MP Partner does not mark up government filing fees.
Currency: All prices are in USD unless otherwise stated. UK LTD services may be priced in GBP.
MP Partner reserves the right to modify platform pricing, subscription rates, and fees at any time at our sole discretion. Price changes apply to future billing periods and new purchases after the effective date. Continued use of the platform after a pricing update constitutes acceptance of the new pricing.

Processing time begins upon receipt of all required information from the client. MP Partner is not responsible for delays caused by government agencies, state offices, the IRS, or any third-party institution.
As your registered agent, MP Partner will receive legal documents, government notices, and official mail on behalf of your company at our state-approved US address, and forward them to your registered email within 1–2 business days.
The registered agent service renews annually at $50/year. Non-renewal may result in loss of registered agent status, state-imposed penalties, or administrative dissolution. An active registered agent is required by most banks to approve and maintain LLC accounts.

To the fullest extent permitted by law, MP Partner's total cumulative liability for any claims arising under or related to these Terms shall not exceed the total fees paid by you to MP Partner in the 12 months preceding the claim.
MP Partner is not liable under any circumstances for:
All platform content — including software, workflows, UI, documents, templates, guides, and branding — is the property of MarketplacesPartner LLC and is protected by applicable intellectual property laws. You may not copy, reproduce, resell, or create derivative works without express written permission.
We treat all client information as strictly confidential. We do not sell or rent your personal or business data to third parties. Information is shared only as required to deliver the workflow service (e.g., filing with a government agency) or as required by applicable law. See our Privacy Policy for full details.
You may close your account at any time by contacting us. MP Partner may suspend or terminate your account if you violate these Terms, if payment is overdue, or if we reasonably suspect fraudulent activity. Upon termination, all outstanding fees remain due. Document copies held in your vault will be made available upon written request for 30 days after termination.
These Terms may be updated at any time without prior notice. The “Last updated” date at the top reflects the most recent revision. Continued use of the platform after any update constitutes full acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
By completing our order form and submitting a purchase, you automatically confirm full and binding acceptance of these Terms. All clients who have purchased services through MP Partner have explicitly agreed to these terms during the order process.
These Terms are governed by applicable law. Any disputes shall be resolved through binding arbitration or courts of competent jurisdiction. MP Partner's failure to enforce any provision of these Terms does not constitute a waiver of that provision.
These Terms & Conditions constitute the entire agreement between you and MarketplacesPartner LLC and supersede all prior representations, understandings, or agreements, whether oral or written.
